Vendor Agreement & Terms
This Vendor Agreement ("Agreement") is entered into between Jyoti Event Services Private Limited, operating as MakeMyUtsav ("Platform", "we", "our"), and the registered vendor/service provider ("Vendor", "you", "your").
By registering or accepting bookings, you agree to this Agreement.
1. Platform Role
- MakeMyUtsav is a technology platform connecting customers with vendors
- Platform acts only as a facilitator
- Vendor is an independent service provider
- No partnership, employment, or agency relationship exists
2. Vendor Onboarding
You confirm that:
- All details provided are accurate
- You are capable of delivering services
- You comply with applicable laws
Platform may approve/reject vendors at its discretion.
3. Booking Process
- You receive booking requests via the app
- You can review details before accepting
- Final payout is shown before acceptance
4. Pricing & Commission
- Pricing is controlled by MakeMyUtsav
- Vendors do not control catalog or pricing
- Commission may vary
- Final payout is always visible before acceptance
5. Vendor Obligations
You must:
- Deliver service on time
- Maintain quality and professionalism
- Coordinate properly with customer
- Arrange your own transportation to the customer's location. MakeMyUtsav does not provide any travel assistance, vehicle, or reimbursement for commute expenses
6. Cancellation Policy
- Vendor cannot cancel after accepting
- In emergencies, inform platform immediately
7. No-Show Policy
If you fail to show up:
- Account may be blocked/suspended
- Customer may be refunded/compensated
- Amount may be recovered from you as decided by us
- Legal action may be taken
8. Vendor Penalties
8.1 When penalties apply
- No-show
- Delay
- Poor service
- Misconduct
- Customer complaints
8.2 Penalty amount
Based on severity, may include full deduction or normally up to 3x service amount. Platform decision is final.
8.3 Recovery
Platform may recover penalties, refunds, and compensation from your payouts, future earnings, or by legal means.
9. Payout Terms
- Payout processed within T+2 days
- Paid to your bank account/UPI
- Platform may hold payout in disputes
- Platform may adjust penalties before release
10. Customer Damage & Liability
You are fully responsible for property damage and any service-related issues. Platform is not liable.
11. Invoice Authorization & Billing Consent
By agreeing to this Agreement, you explicitly authorize MakeMyUtsav to:
11.1 Invoice Generation
Generate service invoices on your behalf for customers, including your details (name, address, GST if applicable).
11.2 Platform Fee Invoice
Generate a separate invoice for platform commission/fees.
11.3 Invoice Delivery
Share invoices with customers via app and email.
11.4 GST & Tax Responsibility
You are solely responsible for GST registration (if applicable), tax filing and compliance. MakeMyUtsav is not responsible for your taxes.
11.5 Accuracy of Information
You must provide correct details. Platform is not responsible for errors due to incorrect info.
11.6 Indemnity (Billing & Tax)
You agree to indemnify MakeMyUtsav against tax disputes, GST issues, and penalties due to your non-compliance.
12. Independent Contractor
You are not an employee of MakeMyUtsav. You manage your own taxes, licenses, and compliance.
13. Ratings & Performance
Platform may monitor ratings and complaints. Poor performance may lead to reduced visibility, suspension, or termination.
14. Suspension & Termination
Platform may suspend or terminate you at any time, with or without notice.
15. Confidentiality
You must not misuse customer data or platform data.
16. Indemnity
You agree to protect MakeMyUtsav from claims, damages, and legal issues arising from your service or conduct.
17. Limitation of Liability
Platform is not liable for service issues or customer disputes.
18. Governing Law
Laws of India apply. Jurisdiction: Bangalore, Karnataka.
19. Acceptance
By registering or accepting bookings, you agree to all terms and accept penalties, payout rules, and billing authorization.
